In 1979, China began to introduce rules, regulations, and laws designed to regulate Sino-foreign joint ventures. This dissertation explores how resident, foreign business persons interact with Chinese associates and officials and how this interaction affects implementation of joint venture policies. In particular, it investigates bargaining between foreign joint venture managers and sub-national bureaucratic actors and focuses on the policy adjustments and legal innovations that grew from these interactions and the outcomes that have evolved despite conflicting objectives. Most notably, it examines policy implementors who strive to maximize and speed transfer of capital, technology and management know-how while maintaining control over joint venture operations, and joint venture managers who develop countermeasures to maximize profit, including improving product quality and increasing autonomy from the state.Subjects--Topical Terms:

The dissertation identifies bargaining occasions and strategies, determines what laws were promulgated to address points of conflict, identifies factors that affect implementation, and explains the ways foreigners bring to bear their influence on implementation. The dissertation pays particular attention to strategies foreigners employ to circumvent local bureaucratic interference.

Archival research and interviews with Chinese officials and business managers and foreign executives involved with joint ventures in China reveal that the foreign presence in China has been an important factor affecting policy making and implementation; foreign investors bring to the bargaining table numerous resources, which China needs, including capital, technology, and management know-how. The context for implementation in China has exhibited both continuity and change when faced with an influx of foreign values and resources. The most vivid change has been the creation and evolution of a legal framework designed to address the concerns of foreign investors regarding a number of issues, including governing law, foreign exchange, labor relations and taxes. Conversely, among aspects of China's political system that has continued to influence the policy process has been the all-important role of personal relationships to achieve goals outside of legal and administrative channels. Reasons for increased bargaining frequency in the evolving policy context are identified and factors that affect local bargaining outcomes among interested foreign and Chinese parties are discussed.
