Past research of M&A has dominantly focused on how M&As in general can affect the level of growth. However, a fact that is largely overlooked in this line of argument is, a firm is first of all an organization. In this regard, a firm has structures, organizational rules and culture, which are generally referred as organizational infrastructure. Moreover, growth of a firm is fundamentally characterized by institutionalization and routinization, which give rise to structural inertia and consequently lead to growth reliability. When an M&A occurs, however, two different sets of organizational infrastructures come together. Differences between the two will inevitably generate disruptions in the organizational core, resulting in a restructuring process, which reduces structural inertia and consequently reliability. This process always occurs, regardless of various M&A mechanisms. Therefore, despite possible effect on mean of growth, M&As should be primarily understood from the perspective of reliability. As the decrease in reliability may lead to explorative activities, which possess the potentials to generate superior growth, a more consistent effect is higher risk of failure. Through analyzing California retail banks' growth from 1900--1990, the study finds evidence that M&As do significantly decrease growth reliability, and increase failure risk. Arguments presented in this study explain why empirical evidence regarding M&A's effect on level of growth has been so mixed, and can potentially make great contributions to organizational theories.
