Today the small, independent mining enterprise is actively engaged in mining all over the world. In the United States 64% of non-fuel mining operations are conducted by junior companies. Usually, such companies have no large or constant cash-flow and their greatest obstacle is the access to adequate capitalization. To even qualify for certain types of debt, a company must have a minimum amount of equity in order to satisfy the lender. For the typical junior company it is impossible to raise this necessary level of equity privately. The public capital market provides an alternative to debt financing, but the cost for complying to the financial disclosure and exchange requirements is excessive. Joint ventures or venture capital may provide the required capital infusions, however, the price of such financing is very high in terms of interest and percentage of ownership. Nonetheless, funds are available and the junior company must decide how much equity and control it is willing to sacrifice in financing its venture.
