The dissertation examines the market and organizational factors that led to the bankruptcy of Tri Valley Growers (TVG), a California tomato- and fruit-processing cooperative owned by more than 500 growers. TVG failed a voluntary petition for reorganization under Chapter 11 of the U.S. Bankruptcy Code, in July 2000, after more than 35 years in business. The study contributes to the extant literature on agricultural marketing cooperatives' performance, and, more generally, to the ongoing debate on the future of U.S. agricultural cooperatives.

Market and organization analysis and interviews with former key personnel of TVG and leaders in the tomato and fruit industry were undertaken to evaluate the tomato and fruit markets and TVG's performance in those industries. The conceptual framework for the market analysis is based on industrial organization theory, while the organizational analysis draws upon the economic, organizational, and game theory literature pertaining to cooperatives.

The results suggest that TVG's bankruptcy was caused by a confluence of organizational and market-related factors and not by TVG's cooperative structure. TVG's problems included low productivity of assets due to high inventory levels and obsolete facilities, high operating costs relative to its competition, high raw product transport costs due to the geographic mismatch of production and processing capacity, particularly in tomato operations, and a poor information system that limited the board of directors and management's ability to conduct financial oversight. TVG was also highly leveraged because its ability to generate equity capital was constrained by the horizon problem endemic to cooperatives.

Inefficiencies in TVG's tomato operations made it difficult for TVG to be competitive in the procurement of tomatoes. Cross subsidization from peaches to tomatoes through the pooling system failed to raise the tomato growers' returns to the level that would strengthen their loyalty to TVG, and caused discontent among the peach growers. The situation was exacerbated by tomato market adversities in the early 1990s, which caused some members to switch to non-member cash contracts or exit the cooperative. Restructuring in 1996 as a so-called "new generation cooperative" failed to stabilize the equity base as hoped and was the final chapter in TVG's history.
