Last decade has witnessed an effort by Chinese government in creating a legal environment to host foreign investment and financing. The goal to be achieved by Chinese is how to maximize its borrowing capacity without incurring any liability on the state; while on foreign side, the basic concern is how to receive returns and profits as well as legal protection. "Systemic Problems of Foreign Financing in the PRC, A Comparative Study" is an attempt to identify the problem areas, analyze the underlying cause of such problems in the perspective of the wide range of social, economic, cultural and ideological differences, and discussing the ways to compromise the interests of both sides. The result will have some theoretical and practical relevance not only to China but also to those countries which commit to open to the world while staying in an planned economy.Subjects--Topical Terms:

This dissertation started with an introductory summary highlighting the underlying conflicts of politics, interests, ideologies and economic regimes that give rise to many problems in foreign investment financing. Then it proceeds with the in-depth discussion on those basic issues that foreign borrowers have had to face: borrower's corporate authority and liability; permissible financing structure; repayment in foreign exchange and legal recourses.

The author has found that many existing problems are systemic, meaning that it is the conflict and clash of the two economies that creates the main problems encountered by foreign businesses. A "private law" system which is necessary to create a justiciable individual rights is inadequate in China because of its underlying mixed economy. Without the gradual and continuous economic reform and a well-developed "private law", foreign lender will be reluctant to advance any fund in the PRC.
