This thesis explores the extent to which issues of agency and governance can be seen as an important determinant for the structure of high-technology industries. It asks whether the incentive structures associated with new enterprises and the governance provided by venture capitalists can be understood as a primary reason for the establishment of these firms, as a counter-balance to the loss of the risk-pooling and the economies of scope that large corporations can offer to innovators. The first two studies focus on the behavior of venture-backed firms themselves, with a particular emphasis on exploring the contrasts between start-ups and established corporations through the development and testing of a formal model and empirical studies. The first essay, "The High-Technology Start-Up: A Model and an Empirical Examination of the Biotechnology Industry," asks what circumstances might compel such disparate organizations to pursue innovation in similar technologies. Differences in behavior also stimulated another analysis, "The Technology Race in the Winchester Disk Drive Industry." Motivated by recent models of technological races, the author examined the decision of disk drive manufacturers of various types to introduce new drives. The third study, "Venture Capitalists and the Governance of New Enterprises," examines the role of institutions which provide both financial support and discipline to these new entities, particularly venture capitalists and investment banks. Finally, two fundamentally exploratory efforts were included. The first, "The Impact of Patent Scope," digressed to consider an issue which, while not directly related to author's broader theme, was of considerable theoretical and policy interest. In the final section, "The Application of Hedonic Measurement," the author initiated an exploration into another metric which might be useful for assessing the performance of privately and publicly-held firms.Subjects--Topical Terms:
