This PhD thesis is a portfolio of scholarship which is composed of collection of published journal articles with a common theme. It explains how Central Counterparty (CCPs) clearing houses operate with regard to their legal, regulatory and cross-border aspects. It considers the private law and regulatory aspects of CCP operations from a common law (United States, England, Canada and Australia) and European Union law perspective. It makes a distinction between 'non-financial market CCPs' and 'financial market CCPs', which is an original concept in the literature regarding CCPs. Furthermore, it discusses the legal implications of some of the regulatory reforms being enacted around the globe for financial market CCPs.

The journal articles have been slightly modified to avoid repetition. An introduction (Chapter 1), a conclusion (Chapter 9) and some additional chapters (Chapters 2, 3 and 5) have been inserted to tie everything together. Chapter 4 is based on my article on "Central Counterparties (CCP) and the New Transnational Lex Mercatoria";1 it discusses the origins of CCPs from the perspective of the new transitional lex mercatoria . Chapter 6 is based on my article on "Counterparty Substitution in Central Counterparty (CCP) Systems";2 it provides a detailed examination of the legal aspects of counterparty substitution'.

Chapter 7 is based on my forthcoming article on "The Legal Aspects of Non-Financial Market Central Counterparties";3 it provides a detailed case comment on the Australian High Court decision in International Air Transportation Association (IATA) v Ansett, 4 which dealt with the insolvency of a clearing member of a non-financial market CCP. Finally, Chapter 8 is based on my forthcoming article on "The Trillion Dollar Question: Can a Central Bank Bail-Out a Central Counterparty (CCP) Clearing House which is 'Too Big To Fail'?";5 it provides an in-depth analysis on whether central banks have the legal authority to bail-out an insolvent financial market CCP which is 'systemically important' and is considered 'too big to fail'.
